Store Regulations
I. GENERAL PROVISIONS
- The online store Cosma, available at the web address www.cosma.pl, is operated by Cosma S.A. with its registered office in Warsaw, Plac Europejski 1/P40, 00-844 Warsaw, entered into the Register of Entrepreneurs of the National Court Register kept by the District Court for M.St. Warsaw in Warsaw, XIII Economic Department of the National Court Register under KRS number: 0000559284, NIP: 9522137211, REGON: 361597490, with a share capital of PLN 14,828,834.40.
- The condition for using the Store is the acceptance of all the terms and conditions set out below. Acceptance constitutes a declaration of will and creates a legal obligation between the Customer and the Seller.
- These Terms and Conditions are addressed to both Consumers and Entrepreneurs using the Store and define the rules for using the online Store and the rules and procedures for concluding Distance Sales Agreements with the Customer via the Store.
- The Regulations are available at any time through the Store. The Regulations are posted in the Store in a printable format.
II. DEFINITIONS
The terms used in the Regulations mean:
- Regulations – these Store regulations.
- Salesperson – Cosma S.A., with its registered office in Warsaw, ul. Plac Europejski 1/P40, 00-844 Warsaw, registered in the Register of Entrepreneurs of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, XIII Economic Department of the National Court Register under number KRS: 0000559284, NIP: 9522137211, REGON: 361597490, with share capital amounting to PLN 14,828,834.40.
- Store – an online store operated by the Seller at the web address www.cosma.store.
- Product – a movable item available in the Store that is the subject of a Sales Agreement between the Customer and the Seller.
- Client – any entity making purchases through the Store.
- Consumer – natural person entering into a sales agreement for Products with the Seller for personal use within the Store, the subject of which is not directly related to their economic or professional activity.
- Entrepreneur – a natural person, a legal person, and an organizational unit without legal personality, to which a separate statute grants legal capacity, conducting business activity in its own name, concluding a contract for the sale of Products within the Store with the Seller.
- Distance contract – an agreement concluded between the Store and the Customer within an organized system for concluding distance contracts, without the simultaneous physical presence of the parties, using exclusively one or more means of distance communication up to the moment of concluding the contract.
- Sales Agreement – a Product sales agreement concluded between the Customer and the Seller through the Store.
- Registration form – form available in the Store, allowing you to create an Account.
- Account – Customer Account created in the Store, where data provided by the Customer and historical information about their Orders placed in the Store are collected.
- Order – declaration of the Customer's will submitted via the Order Form and aimed directly at concluding the Contract of Sale of Products with the Seller.
- Order Form – interactive form available in the Store allowing you to place an Order, in particular by adding Products to the Cart and specifying the terms of the Sales Agreement, including the method of delivery and payment method.
- Basket – a software element of the Store, where Products selected by the Customer for purchase and their price are visible, and it is also possible to set and modify Order data, particularly the quantity and type of products.
- Dinner – Gross product price, placed next to the product information, not including delivery costs. The price is expressed in Polish zloty and includes value-added tax (VAT).
- Shipping costs – delivery fees for Products ordered to the delivery address provided by the Customer. Delivery costs are expressed in Polish zlotys and include value added tax (VAT). The Delivery Costs price list can be found in the „Delivery Costs” tab.
- Total Order PriceThe sum of the Price and Delivery Costs indicated in the transaction summary.
III. TECHNICAL REQUIREMENTS
To use the Store, including browsing the Store's selection and ordering Products, you will need:
- Broadband internet access;
- Operating system (such as iOS, Microsoft Windows XP, 7 or Vista and newer);
- Active email account;
- End-user device with Internet access and a web browser (Internet Explorer 8 and newer, Google Chrome 15 and newer, Mozilla Firefox 7 and newer, Opera 11 and newer) supporting CSS and JavaScript;
- Pop-up blocking is enabled;
- Cookies enabled;
- FlashPlayer installed;
IV. CONTACT WITH THE STORE
- The Customer can communicate with the Seller using the addresses and phone numbers provided in this section.
- Seller's email address: info@cosma.store.
- The Client can contact the Seller by phone during business hours from 9:00 AM to 5:00 PM by calling the Seller's following phone number: +48 22 164 78 91.
V. GENERAL TERMS AND CONDITIONS
- Commercial information – price lists, descriptions, advertisements, and other information about Products found on the Seller's Store Website constitute an invitation to enter into a contract within the meaning of Article 71 of the Civil Code.
- When placing an Order in the Store, the Customer confirms that they have full legal capacity and the ability to enter into legally binding obligations.
- The client is obliged to enter data into the Order Form and the Registration Form that are consistent with the actual state of facts, consistent with the law and good practices. The provided data may not infringe the personal rights or property rights of third parties.
- The seller is a VAT (Value Added Tax) payer and issues a sales document—a receipt or an invoice—for each product sale transaction.
- Prices listed in the Store are in Polish zlotys and are gross prices (including VAT).
- To the fullest extent permitted by law, the Seller shall not be liable for disruptions, including interruptions, in the functioning of the Store caused by force majeure, unlawful actions of third parties, or incompatibility of the Online Store with the Customer's IT infrastructure.
- The final amount payable by the Customer consists of the price of the Product and the cost of delivery (including transport, delivery, and postal charges), which the Customer is informed about on the Store's pages during the order placement, including at the moment of expressing the will to be bound by the Sales Agreement.
VI. PRODUCTS
- The store offers three categories of Products in its assortment:
- Dietary supplements,
- Cosmetics,
- Food.
- Product information, such as photos, detailed descriptions, and – where applicable – ingredients, are available on the Store's websites, in the descriptions of individual Products.
- All products offered in the Store Products are brand new, free from physical and legal defects, and have been lawfully introduced to the market.
VII. STORE ACCOUNT
- Browsing the Store's assortment does not require creating an Account. Placing orders by the Customer for Products available in the Store's assortment is possible either after creating an Account or by providing the necessary personal and address details to enable order fulfillment without creating an Account.
- Opening an account in the store is free.
- To open an Account, you must complete the registration form with the Customer's data. The registration form contains clearly marked fields that must be filled in. The following data is required: first name, last name, email address, billing address (country, street, postal code, city), phone number.
- After the Customer completes and submits the Registration Form, the Seller will send a confirmation of account creation to the email address provided by the Customer. At this point, the account creation process will be completed.
- Logging into the Account is done by providing the login and password established in the Registration Form.
- The Client has the option to delete their Account at any time, without stating a reason and without incurring any fees for doing so, by sending an appropriate request to the Seller, particularly via email.
VIII. ORDER PLACEMENT PROCESS
- The Customer places an Order using the Order Form and the Shopping Cart.
- To place an Order, you need to:
- select the Product to be ordered, and then click the „Add to Cart” button,
- log in or take advantage of the option to place an order without registration,
- If the option to place an Order without registration has been selected, fill out the Order Form by entering the Order recipient's details and the address where the Product is to be delivered, select the delivery method (way of delivering the Product), and enter the invoice details if they differ from the Order recipient's details.,
- click the “I buy and pay” button – clicking this button entails an obligation to pay. In this way, the Customer accepts the selected Products according to their description, quantity, and Price, and expresses their will to purchase them in accordance with these Terms and Conditions.,
- Choose one of the available payment methods and pay for the order within 1 business day, depending on the payment method. If the Total Order Price is not credited to the Seller's bank account by the end of this period, the order will be canceled.
IX. DELIVERY AND PAYMENT TERMS
- The client can use the following methods to receive the ordered Product:
- Inpost shipment (courier, parcel locker);
- DPD courier shipment (prepayment, cash on delivery);
- The Customer pays the Total Order Price via online payment through the PayU or Stripe payment system.,
- Detailed information about shipping costs and methods, as well as acceptable payment methods, can be found on the Shop's pages.
X. ORDER FULFILLMENT
- The Sales Agreement between the Client and the Seller is concluded after the Client has placed an Order using the Order Form in the Online Store in accordance with Chapter VIII of the Regulations and has subsequently paid for it.
- Upon booking the Total Order Price to the bank account, the Seller shall prepare the Order for fulfillment no later than two business days. Confirmation of acceptance of the Order for fulfillment shall be made by the Seller sending the Customer a relevant email message to the Customer's email address provided during the Order placement, which shall contain, at a minimum, the Seller's statements of receipt of the Order and its acceptance for fulfillment, and confirmation of the conclusion of the Sales Agreement. Upon receipt of the aforementioned email message by the Customer, the Sales Agreement between the Customer and the Seller shall be concluded.
- If the Customer—regardless of the reason—does not accept the shipment, the Seller has the right to withdraw from the agreement on the date of the return of the unclaimed shipment.
- Product delivery takes place within the European Union.
- Delivery of Products to the Customer is subject to a fee. The costs of Product delivery (including transport, delivery, and postal service fees) are indicated to the Customer on the Online Store's pages in the „Delivery Costs” tab and during the Order placement process, including at the moment the Customer expresses their intention to be bound by the Sales Agreement.
- For shipments outside of Poland, shipping costs and delivery times are determined individually.
XI. RIGHT TO WITHDRAW FROM THE SALES CONTRACT
- The consumer may withdraw from the Sales Agreement within 14 days without stating a reason.
- The right to withdraw from the Sales Agreement does not apply to the following Products:
- perishable or with a short shelf life,
- in which the subject of performance is a thing delivered in sealed packaging, which cannot be returned after opening the packaging due to health protection or hygienic reasons, if the packaging has been opened after delivery,
- The right to withdraw from the Sales Agreement is not available to a Customer who is not a Consumer.
- Bieg terminu określonego w ust. 1 rozpoczyna się od dostarczenia Produktu Konsumentowi lub wskazanej przez niego osobie innej niż przewoźnik.
- Konsument może odstąpić od Umowy Sprzedaży, składając Sprzedawcy jednostronne oświadczenie o odstąpieniu od Umowy Sprzedaży. W celu skorzystania z prawa odstąpienia od Umowy Sprzedaży Konsument może skorzystać z wzoru formularza oświadczenia o odstąpieniu od Umowy Sprzedaży. Wzór formularza odstąpienia od Umowy Sprzedaży dostępny jest na stronach Sklepu. Skorzystanie z tego wzoru nie jest obowiązkowe.
- Do zachowania terminu odstąpienia od Umowy Sprzedaży wystarczy wysłanie przez Konsumenta oświadczenia przed upływem tego terminu.
- Oświadczenie może być wysłane za pomocą tradycyjnej poczty na adres Sprzedawcy bądź drogą elektroniczną poprzez przesłanie oświadczenia na adres e-mail Sprzedawcy wskazany w rozdziale IV. Regulaminu.
- W przypadku przesłania oświadczenia przez Konsumenta drogą elektroniczną, Sprzedawca niezwłocznie prześle Konsumentowi na podany przez Konsumenta adres e-mail potwierdzenie otrzymania oświadczenia o odstąpieniu od Umowy Sprzedaży.
- W przypadku odstąpienia od Umowy zawartej na odległość, Umowy Sprzedaży uważa się za niezawartą.
- Konsument powinien odesłać zwrotnie Produkt na adres Sprzedawcy podany w niniejszym Regulaminie niezwłocznie jednak nie później niż 14 dni od dnia, w którym złożył oświadczenie o odstąpieniu. Do zachowania terminu 14 –dniowego terminu wystarczy odesłanie Produktu przed jego upływem.
- Konsument ponosi koszty zwrotu Produktu (np. koszty: opakowania, zabezpieczenia, czy nadania), także koszty przesyłki zwrotnej.
- Sprzedawca nie odbiera przesyłek wysłanych ”za pobraniem”.
- Przesyłka zwrotna powinna być odpowiednio zabezpieczona przed uszkodzeniem w transporcie.
- Sprzedawca zwróci Konsumentowi niezwłocznie jednak nie później niż w terminie 14 dni dokonane przez niego płatności, w tym Koszty dostawy Produktu, z wyjątkiem dodatkowych kosztów wynikających z wybranego przez Konsumenta sposobu dostarczenia innego niż najtańszy zwykły sposób dostarczenia oferowany przez Sprzedawcę. Sprzedawca może wstrzymać się ze zwrotem, o którym do czasu otrzymania zwrotu Produktów lub dowodu ich odesłania, w zależności od tego, które zdarzenie nastąpi wcześniej.
- Zwrotu płatności Sprzedawca dokona przy użyciu takich samych metod płatności, jakie zostały przez Konsumenta użyte w pierwotnej transakcji chyba, że Konsument wyraźnie zgodził się na inne rozwiązanie, które nie będzie się wiązało dla niego z żadnymi kosztami.
- Konsument odpowiada za zmniejszenie wartości Produktu wynikające z korzystania z niego w sposób inny niż było to konieczne do stwierdzenia charakteru, cech i funkcjonowania Produktu.
- W przypadku, gdy ze względu na charakter Produktu nie może on zostać odesłany w zwykłym trybie pocztą, informacja o tym, a także o kosztach zwrotu Produktu, będzie się znajdować w opisie Produktu w Sklepie.
XII. PROCES REKLAMACYJNY
- Sprzedawca jest obowiązany dostarczyć Klientowi Produkt wolny od wad. W przypadku wystąpienia wady zakupionego u Sprzedawcy towaru Klient ma prawo do reklamacji w oparciu o przepisy dotyczące rękojmi w kodeksie cywilnym. Sprzedawca jest zwolniony od odpowiedzialności z tytułu rękojmi, jeżeli Klient wiedział o wadzie w chwili zawarcia umowy.
- Klient musi zgłosić Sprzedawcy swoje roszczenie wynikające z rękojmi w ciągu roku od dnia zauważenia wady. Jednak nie później niż w ciągu 2 lat od doręczenia Produktu. Reklamację należy zgłosić pisemnie na adres Sprzedawcy lub drogą elektroniczną na adres e-mail wskazany w rozdziale IV. Regulaminu.
- Reklamacja powinna zawierać dane osoby składającej reklamację (imię i nazwisko, adres korespondencyjny, adres e-mail, numer telefonu kontaktowego, opcjonalnie zdjęcie uszkodzeń produktu), wskazanie przyczyny reklamacji oraz treści żądania. W miarę możliwości reklamacje dotyczące Produktów lub dostawy powinny zawierać również numeru transakcji (jest on widoczny w potwierdzeniu przyjęcia Zamówienia). Oryginał lub kopia dowodu zakupu (np. paragonu lub faktury) może ułatwić złożenie reklamacji, ale nie jest niezbędny do jej złożenia.
- Jeżeli rzecz sprzedana ma wadę, Klient może złożyć oświadczenie z wnioskiem o obniżeniu ceny albo o odstąpieniu od umowy chyba, że Sprzedawca niezwłocznie i bez nadmiernych niedogodności dla Klienta wymieni rzecz wadliwą na wolną od wad albo wadę usunie. Ograniczenie to nie ma zastosowania, jeżeli rzecz była już wymieniona lub naprawiana przez Sprzedawcę albo Sprzedawca nie uczynił zadość obowiązkowi wymiany rzeczy na wolną od wad lub usunięcia wady.
- Jeżeli Klientem jest Konsument, może on zamiast zaproponowanego przez Sprzedawcę usunięcia wady żądać wymiany rzeczy na wolną od wad albo zamiast wymiany rzeczy żądać usunięcia wady chyba, że doprowadzenie rzeczy do zgodności z umową w sposób wybrany przez Konsumenta jest niemożliwe albo wymagałoby nadmiernych kosztów w porównaniu ze sposobem proponowanym przez Sprzedawcę. Przy ocenie nadmierności kosztów uwzględnia się wartość rzeczy wolnej od wad, rodzaj i znaczenie stwierdzonej wady, a także bierze się pod uwagę niedogodności, na jakie narażałby Klienta o inny sposób zaspokojenia.
- Obniżona cena powinna pozostawać w takiej proporcji do Ceny wynikającej z umowy, w jakiej wartość rzeczy z wadą pozostaje do wartości rzeczy bez wady.
- Klient nie może odstąpić od umowy, jeżeli wada jest nieistotna.
- Sprzedawca ustosunkuje się do żądania reklamacyjnego Klienta niezwłocznie, nie później niż w terminie 14 dni. W przypadku roszczeń Konsumenta nie ustosunkowanie się przez Sprzedawcę do reklamacji w podanym terminie spowoduje uznanie roszczenia.
- O sposobie rozpatrzenia reklamacji Sprzedawca powiadomi osobę składającą reklamację listem wysłanym na adres podany w reklamacji albo pocztą elektroniczną – w zależności od sposobu złożenia reklamacji.
- Towary odsyłane w ramach procedury reklamacyjnej należy wysyłać na adres Sprzedawcy.
- Koszty wysyłki Produktów w ramach złożonej reklamacji ponosi Sprzedawca.
- W przypadku, gdy na Produkt została udzielona gwarancja, informacja o niej, a także jej treść, będą zawarte przy opisie Produktu w Sklepie.
- Zwrot płatności w przypadku pozytywnego rozpatrzenia reklamacji nastąpi niezwłocznie po otrzymaniu przez Konsumenta informacji o sposobie załatwienia reklamacji. Zwrotu płatności Sprzedawca dokona przy użyciu takich samych metod płatności, jakie zostały przez Konsumenta użyte w pierwotnej transakcji.
XIII. POZASĄDOWE SPOSOBY ROZPATRYWANIA REKLAMACJI I DOCHODZENIA ROSZCZEŃ
- W razie sporu ze Sprzedawcą lub jakichkolwiek wątpliwości co do swoich praw, Konsument ma możliwości skorzystania z pozasądowych sposobów rozpatrywania reklamacji i dochodzenia roszczeń.
- Szczegółowe informacje dotyczące możliwości skorzystania przez Konsumenta z pozasądowych sposobów rozpatrywania reklamacji i dochodzenia roszczeń oraz zasady dostępu do tych procedur dostępne są w siedzibach oraz na stronach internetowych powiatowych (miejskich) rzeczników konsumentów, organizacji społecznych, do których zadań statutowych należy ochrona konsumentów, Wojewódzkich Inspektoratów Inspekcji Handlowej oraz pod następującymi adresami internetowymi Urzędu Ochrony Konkurencji i Konsumentów:http://www.uokik.gov.pl/spory_konsumenckie.php; http://www.uokik.gov.pl/sprawy_indywidualne.php oraz http://www.uokik.gov.pl/wazne_adresy.php.
- Konsument posiada następujące przykładowe możliwości skorzystania z pozasądowych sposobów rozpatrywania reklamacji i dochodzenia roszczeń:
- Konsument uprawniony jest do zwrócenia się do stałego polubownego sądu konsumenckiego, o którym mowa w art. 37 ustawy z dnia 15 grudnia 2000 r. o Inspekcji Handlowej (t.j. Dz.U. z 2019 r. poz. 1668 z późn. zm.), z wnioskiem o rozstrzygnięcie sporu wynikłego z Umowy Sprzedaży zawartej ze Sprzedawcą.
- Konsument uprawniony jest do zwrócenia się do wojewódzkiego inspektora Inspekcji Handlowej, zgodnie z art. 36 ustawy z dnia 15 grudnia 2000 r. o Inspekcji Handlowej (t.j. Dz.U. z 2019 r. poz. 1668 z późn. zm.), z wnioskiem o wszczęcie postępowania mediacyjnego w sprawie polubownego zakończenia sporu między Konsumentem a Sprzedawcą.
- Konsument może uzyskać bezpłatną pomoc w sprawie rozstrzygnięcia sporu między nim a Sprzedawcą, korzystając także z bezpłatnej pomocy powiatowego (miejskiego) rzecznika konsumentów lub organizacji społecznej, do której zadań statutowych należy ochrona konsumentów (m.in. Federacja Konsumentów, Stowarzyszenie Konsumentów Polskich).
XIV. OCHRONA DANYCH OSOBOWYCH
- Wszelkie kwestie w zakresie ochrony danych osobowych Klientów oraz wszystkich innych osób korzystających ze Sklepu uregulowane są w polityce prywatności udostępnionej na stornie internetowej Sklepu pod adresem: https://cosma.pl/polityka-prywatnosci
XV. POSTANOWIENIA KOŃCOWE
- Umowy zawierane ze Sprzedawcą zawierane są w języku polskim.
- W sprawach nieuregulowanych w niniejszym Regulaminie mają zastosowanie powszechnie obowiązujące przepisy prawa polskiego, w szczególności: Kodeksu cywilnego; ustawy o świadczeniu usług drogą elektroniczną; ustawy o prawach konsumenta, ustawy o ochronie danych osobowych.
- Jeśli którekolwiek z postanowień niniejszego Regulaminu zostanie uznane za niezgodne z prawem, nieważne lub w inny sposób niewykonalne w zakresie przewidzianym przepisami prawa, to w tym zakresie zostaje ono wyłączone. W pozostałym zakresie Regulamin pozostaje obowiązujący.
- Wszystkie nazwy Produktów oferowanych do sprzedaży przez Sklep internetowy są używane w celach identyfikacji Produktów mogą być chronione i zastrzeżone na podstawie przepisów ustawy prawo własności przemysłowej.
- Sprzedawca zastrzega sobie prawo do jednostronnego dokonywania zmian w treści Regulaminu – przy zachowaniu zasady, iż Klienta obowiązuje Regulamin zaakceptowany przez niego w trakcie rezerwacji i Sprzedawca umożliwia Klientom dostępu do archiwalnych wersji regulaminów.
- Wszystkie zdjęcia zamieszczone na stronie internetowej chronione są na podstawie ustawy z dnia 4 lutego 1994 r. o prawie autorskim i prawach pokrewnych – (t. j. Dz.U. z 2019 poz. 1231 z późn. zm.) – posiadają twórczy i indywidualny charakter. Nie można ich kopiować bez zgody Sprzedawcy.
- Konsument ma prawo skorzystać z pozasądowych sposobów rozpatrywania reklamacji i dochodzenia roszczeń. W tym celu może złożyć skargę za pośrednictwem unijnej platformy internetowej ODR dostępnej pod adresem: http://ec.europa.eu/consumers/odr/.
- Wszelkie spory wynikające z realizacji Umowy Sprzedaży, w przypadku braku polubownego rozwiązania, będą rozpatrywane przez właściwy sąd powszechny określony według przepisów ustawy z dnia 17 listopada 1964 r. Kodeks postępowania cywilnego.
